pursuant to the Act of 30 August 1996 on commercialisation and privatisation
(Journal of Laws of 2013, item 216) and § 14(1) of the Regulation of the Minister of the Treasury of 29 January 2003 on detailed rules for the division of eligible employees into groups, the determination of the number of shares allocated to each of these groups, and the procedure for the acquisition of shares by eligible employees (Journal of Laws No. 35, item 303, as amended)
hereby announces the commencement of the free-of-charge disposal to eligible employees
397,500 (in words: three hundred and ninety-seven thousand five hundred) Series A shares of the joint-stock company “Elektromontaż - Poznań” S.A. with a nominal value of PLN 10 (in words: ten zlotys) each.
1. Agreements for the free transfer of shares may be concluded from 15 April 2015 at the Company’s registered office, i.e. in Poznań at ul. Wieruszowska 12/16 in Building A, room no. 109 or 305 between 9:00 and 14:00.
2. Persons coming to conclude an agreement for the free-of-charge acquisition of shares must present a valid identity card or passport.
3. If it is not possible to attend in person, the authorised person may appoint a proxy to conclude the agreement, make the relevant declarations, collect the collective share certificate and submit an application for entry in the share register. A template of the power of attorney* is available from the Company (room no. 109 or 305, tel. 662 090 011 or 662 090 013, or on the Company’s website www.elektromontaz.com).
4. Heirs of eligible employees may exercise their right to acquire shares free of charge provided they present a final court decision on the acceptance of the inheritance or a registered certificate of inheritance drawn up by a notary. Further details are available from the Company (tel. 662 090 011 or 662 090 013).
5. The right to acquire the Company’s shares free of charge may be exercised by eligible employees until 20 March 2017. After this date, the right to acquire shares free of charge expires, except for the heirs of eligible employees who meet the conditions referred to in Article 38c(5) of the Act on Commercialisation and Privatisation.
6. The schedule for concluding agreements is available on the Company’s website www.elektromontaz.com and on the notice boards at the Company’s registered office in Poznań, Building A.
7. In order to reduce any potential waiting time for the conclusion of the agreement, please
arrange a specific date for the conclusion of the agreement by telephone using the numbers provided in points 3 or 4.
